1. License Grant

Subject to the terms of this Agreement, QuoteAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the QuoteAI platform ("Software") for your internal business purposes in accordance with your subscription plan.

2. Restrictions

You shall not:

Copy, modify, or distribute the Software or its content
Reverse engineer, decompile, or disassemble the Software
Rent, lease, lend, sell, or sublicense the Software
Use the Software to build a competitive product
Remove or alter any proprietary notices or labels
Use the Software in violation of any applicable laws
Use automated means to scrape or extract data from the Software

3. Intellectual Property

The Software, including all intellectual property rights therein, is and remains the property of QuoteAI. This Agreement does not convey to you any rights of ownership in the Software. All rights not expressly granted in this Agreement are reserved by QuoteAI.

4. Your Data

You retain all rights to the data you input into the Software, including project details, floor plans, client information, and generated quotes. QuoteAI processes your data solely to provide the Service and does not claim ownership over your content.

5. AI-Generated Output

Quotes, estimates, and other content generated by the Software's AI capabilities are provided for your use in your business operations. You are responsible for reviewing and verifying all AI-generated output before relying on it. QuoteAI makes no guarantees regarding the accuracy or completeness of AI-generated content.

6. Updates and Modifications

QuoteAI may update, modify, or discontinue the Software or any features at any time. We will make reasonable efforts to notify you of material changes. Continued use of the Software following any changes constitutes your acceptance of such changes.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. QUOTEAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL QUOTEAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. QUOTEAI'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

This Agreement is effective until terminated. QuoteAI may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Software. Sections relating to intellectual property, liability, and dispute resolution survive termination.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which QuoteAI is incorporated, without regard to conflict of law principles.
